Welcome to Neighbors First MN. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "Client," or "you") and Neighbors First MN ("Company," "we," "us," or "our") regarding your use of https://neighborsfirstmn.com (the "Site").
1. SCOPE OF SERVICES
Neighbors First MN provides a multi-disciplinary platform for real estate consulting, staging, and project management.
* Consulting & Staging: We provide guidance on property value, aesthetic preparation, and renovation ROI.
* Project Management: We facilitate renovation and remodeling projects. Note: Neighbors First MN may act as a consultant or project manager who facilitates services through third-party, Minnesota-licensed, and insured independent contractors.
* Professional Relationship: Use of this Site or an initial consultation does not create a fiduciary, agency, or contractor-client relationship. Such relationships are only formed upon the execution of a separate, written, and signed Professional Services Agreement (PSA).
2. LICENSING DISCLOSURE & SAFE HARBOR
Neighbors First MN operates in compliance with Minnesota state law.
* Contracting: To the extent that physical construction or restoration is required, such work is performed by entities holding valid Residential Building Contractor or Remodeler licenses issued by the Minnesota Department of Labor and Industry (DLI).
* Real Estate: Unless explicitly stated in a signed Agency Disclosure, Neighbors First MN acts as a consultant and does not provide licensed real estate brokerage services as defined under Minn. Stat. Chapter 82.
* Compliance: If any specific service offered requires a professional license not held by the Company, the Company shall engage a properly licensed third-party professional to perform such services.
3. ESTIMATES AND FINANCIAL PROJECTIONS
Any financial projections, "After Repair Value" (ARV) estimates, or ROI calculations provided on the Site are estimates for informational purposes only.
* Market conditions in Minnesota are subject to change.
* We do not guarantee specific sale prices, rental yields, or fixed construction costs.
* Actual costs are determined by final bids and signed project contracts.
4. INTELLECTUAL PROPERTY
The Site contains proprietary "Before and After" photography, staging designs, and consulting frameworks.
* Ownership: Neighbors First MN retains all rights to media and designs unless otherwise transferred in a written agreement.
* License: You are granted a limited, non-exclusive license to view Site content for personal use. You may not use our "Value-Add" consulting frameworks for commercial purposes without our written consent.
5. LIMITATION OF LIABILITY
To the maximum extent permitted by Minnesota law, Neighbors First MN shall not be liable for:
* Latent defects in properties not discovered during visual consultations.
* Delays caused by municipal permitting, supply chain issues, or labor shortages.
* The acts or omissions of third-party contractors or vendors introduced to the Client.
* Liability Cap: Our total liability for any claim arising from the use of this Site shall not exceed $500.00 or the amount paid by you for the specific consultation at issue, whichever is greater.
6. MANDATORY ARBITRATION & CLASS ACTION WAIVER
Any dispute arising out of these Terms shall be settled by binding arbitration in the State of Minnesota, administered by the American Arbitration Association (AAA).
* Small Claims: You retain the right to assert claims in Minnesota Conciliation Court if the claim qualifies.
* Waiver: You waive the right to participate in a class-action lawsuit.
7. PRIVACY & DATA (2026 COMPLIANCE)
Your data is handled according to the Minnesota Consumer Data Privacy Act (MCDPA). We do not sell your property data to third-party aggregators. You have the right to request a copy of your data or request deletion by contacting us at the email address provided below.
8. INDEMNIFICATION
You agree to indemnify and hold harmless Neighbors First MN from any claims, losses, or legal fees resulting from your breach of these Terms, your failure to disclose material facts about a property you own, or your violation of Minnesota property laws.
9. GOVERNING LAW
These Terms are governed by the laws of the State of Minnesota. Any legal proceedings not subject to arbitration shall occur in the state or federal courts located in Minnesota.
